Terms of Service

Please read these Terms of Service ("Terms") carefully before using our Platform. This is a legally binding agreement between you ("User" or "you") and VentureStrat ("Company", "we", "us", or "our"), the owner and operator of the fundraising platform (the "Platform" or "Service"). VentureStrat is a company registered in the United Arab Emirates, and these Terms are governed by UAE laws as described in Section 12 below.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

These Terms apply to the initial fundraising module of our Platform. As we introduce new features or modules (such as task management or legal tools), additional terms may supplement or modify these Terms for those specific services. We will notify you of any such additions.

1. Use of the Service

1.1. Allowed and Intended Use

Our Platform provides a curated database of potential investors and tools to manage your outreach to them. You may use the Service to browse investor profiles, shortlist and track your interactions with investors, and draft or send communications (including AI-assisted email drafts) to those investors. The Platform is intended for use by startup founders, entrepreneurs, or their authorized team members to streamline fundraising efforts. You agree to use the Service only for its intended purposes and in compliance with all applicable laws and regulations.

1.2. Prohibited Conduct

You are prohibited from engaging in any misuse of the Platform. Specifically, when using our Service, you agree NOT to:

• Violate Laws or Rights: Use the Service in any way that violates any applicable laws or regulations, or infringes the rights of any individual or entity (including intellectual property rights and privacy rights).
• Unauthorized Access or Disruption: Attempt to gain unauthorized access to the Service or another user's account, or interfere with or disrupt the integrity or performance of the Platform.
• Automated Scraping or Extraction: Use bots, crawlers, scrapers, or any automated means to retrieve, index, "scrape," data mine or otherwise gather content or information from the Platform without our prior written permission.
• Spam or Harassment: Use the Service to transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or pyramid schemes.
• Reverse Engineering: Copy, modify, create derivative works of, decompile, or reverse engineer any part of the Service.
• Reselling or Misusing Content: Sell, rent, sublicense, or redistribute our Service or content provided within it to any third party.
• Competing Services: Use the Service to build or enhance a competing product or service.
• Malicious Activity: Upload or transmit any viruses, worms, or harmful code, or do anything that could disable, overburden, or impair the proper working of the Platform.
• Impersonation and False Information: Misrepresent your affiliation with any person or entity, or impersonate another person while using the Service.
• Other Prohibited Uses: Engage in any other activity that we deem contrary to the spirit of the Platform.

Violation of the above acceptable use rules may result in immediate termination or suspension of your account, at our discretion, and could also expose you to legal liability.

2. Accounts and Registration

2.1. Account Creation

To access most features of our Platform, you need to register for an account. When creating an account, you agree to provide accurate, current, and complete information about yourself and/or your company as prompted by the registration forms.

2.2. Account Security

You are responsible for maintaining the confidentiality of your account login credentials, especially your password. Do not share your password with others. You agree to notify us immediately if you suspect any unauthorized access to or use of your account.

2.3. Single Account; Authorized Users

You should create only one account for yourself. If you are an organization, you may have multiple users under your organization's plan, but each user should have their own credentials.

2.4. Our Right to Refuse or Terminate

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or for other reasons in our sole discretion.

3. Subscription and Fees

3.1. Subscription Plans

Access to the Platform's core features is provided on a paid subscription basis. By subscribing, you agree to pay the applicable subscription fees and any taxes in accordance with the selected plan.

3.2. Payment Processing

Payments are handled securely by Stripe. We do not store your full credit card number on our servers.

3.3. Auto-Renewal

Subscriptions automatically renew at the end of each billing period by default, unless you cancel before the next renewal date.

3.4. Failed Payments

If a payment fails, we will attempt to notify you and retry the charge. We may suspend or restrict your account until payment is resolved.

3.5. Cancellation

You may cancel your subscription at any time through your account settings or by reaching out to our support team. If you cancel, you will continue to have access until the end of your current billing period.

3.6. Refunds

Subscription fees are generally non-refundable. We do not provide refunds or credits for partial subscription periods, unused time, or unused features, except where required by law or at our sole discretion.

3.7. Changes in Fees

We reserve the right to modify subscription fees with prior notice. We will notify you at least 30 days in advance of any increase in fees.

4. Services and Features

4.1. Fundraising Module

The current Service primarily consists of our Fundraising Module, which includes a searchable list of investors, tools to shortlist investors, the ability to track statuses, and an AI-assisted email drafting feature. We do not guarantee the exact number of investors available on the Platform at any given time.

4.2. AI-Generated Content

The AI feature may generate suggested email text. You are solely responsible for reviewing and editing any AI-generated content before you use or send it. We do not guarantee the correctness, completeness, or suitability of AI-generated emails. To the maximum extent permitted by law, we will not be liable for any consequences arising from the use of AI-generated content.

4.3. Communications via the Platform

The Platform may facilitate sending emails or messages to investors directly. We do not guarantee that any investor will receive, read, or respond to your message.

4.4. No Financial Advice or Broker Services

VentureStrat operates solely as a technology platform. VentureStrat is not a broker-dealer, investment advisor, placement agent, finder, or intermediary in any securities transaction.

4.5. Future Modules

As our Platform grows, we may introduce new modules with additional terms or guidelines.

4.6. No Guarantee of Funding or Investor Responses

The Platform is a tool designed to support and organize your fundraising efforts; it is not a guarantee of outcomes. We make no representation or warranty regarding the likelihood of funding success, investor engagement rates, or any response timelines.

5. User Content and Data

5.1. Your Content

You retain all intellectual property rights in your User Content. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, host, copy, process, transmit, and display your User Content solely for the purpose of operating and improving the Service.

5.2. Responsibility for User Content

You are solely responsible for the User Content you provide or actions you take on the Platform.

5.3. Review and Monitoring

We reserve the right (but not the obligation) to review, screen, and delete or remove any User Content at any time and for any reason.

5.4. Data Privacy

Our Privacy Policy describes how we handle the personal data you provide to us.

5.5. Feedback

If you provide us with any suggestions, ideas, or feedback about the Service, you agree that we can use and share such Feedback for any purpose without compensating you.

5A. Investor Data Sourcing, Consent, and Data Subject Rights

5A.1. Data Sources and Accuracy Disclaimer

The Platform aggregates and displays information regarding investors compiled from publicly available materials, third-party data providers, and user submissions. VentureStrat does not warrant the accuracy, completeness, currency, reliability, or timeliness of any Investor Data.

5A.2. No Endorsement or Relationship

The inclusion of any investor on the Platform does not constitute an endorsement, affiliation, sponsorship, partnership, or recommendation by VentureStrat.

5A.3. Third-Party Data Providers

Certain Investor Data may be obtained from third-party data providers. VentureStrat makes no guarantee that any third-party provider has obtained explicit consent from every investor.

5A.4. Lawful Basis for Processing

VentureStrat processes Investor Data on the basis of its legitimate interests in operating a fundraising facilitation platform.

5A.5. Data Subject Rights and Removal Requests

Any individual whose information is listed on the Platform may submit a request to access, correct, restrict, or request removal of their information by contacting privacy@venturestrat.ai.

5A.6. User Responsibility for Outreach and Compliance

Users are solely responsible for any communications they initiate with investors through the Platform and must comply with all applicable laws including UAE PDPL, GDPR, CAN-SPAM Act, and CASL.

5A.7. Liability Limitation Specific to Investor Data

VentureStrat shall not be liable for any damages arising from user's use of or reliance upon Investor Data.

6. Intellectual Property Rights

6.1. Our Content and Ownership

The Platform and all content are owned by VentureStrat or its licensors and protected by intellectual property laws. You are granted a limited, revocable, non-transferable license to access and use the Service.

6.2. Trademarks

VentureStrat and our logos are trademarks owned by us.

6.3. Open Source and Third-Party Components

The Platform may include open-source software subject to its own license terms.

6.4. Prevention of Unauthorized Use

We reserve the right to employ technological measures to prevent unauthorized uses of the Platform.

7. Third-Party Links and Services

The Platform may contain links or integrations to third-party websites or services. We do not have control over third-party sites or services. We are not responsible for the content, policies, or practices of any third-party websites or services.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted under applicable law, the Company disclaims all warranties of any kind.

• Implied Warranties: We do not make any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.
• No Guarantee of Outcomes: We make no guarantee that you will achieve any particular results by using the Platform.
• Service Availability: We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free.
• Accuracy of Data: We do not warrant that any content provided on the Platform is complete, accurate, or up-to-date.
• AI Outputs: We specifically disclaim any warranty regarding the accuracy or appropriateness of AI-generated content.
• Security: We do not warrant that the Platform will be free from viruses, malware, or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, VentureStrat and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever.

In no event shall our total cumulative liability exceed the amount you have paid to us in subscription fees in the twelve (12) months immediately preceding the event giving rise to the liability. If you have not paid us any fees, our total liability shall not exceed USD $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless VentureStrat and its affiliates from and against any and all third-party claims, liabilities, damages, losses, or expenses that arise out of or are related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any applicable law, or (d) your infringement of any rights of another.

11. Term and Termination

11.1. Term

These Terms are effective from the moment you first accept them and will continue until terminated.

11.2. Your Right to Terminate

You may terminate at any time by canceling your subscription and discontinuing all use of the Service.

11.3. Our Right to Terminate or Suspend

We may suspend or terminate your access for any reason, including violation of these Terms.

11.4. Effect of Termination

Upon termination, your right to use the Service will immediately cease. You should export any data you need before terminating your account.

12. Governing Law and Dispute Resolution

These Terms will be governed by the laws of the United Arab Emirates.

12.1. Jurisdiction

Any dispute shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

12.2. Dispute Resolution

Before filing any claim, you agree to first try to resolve the dispute informally by contacting us. If a dispute cannot be resolved informally within 30 days, either party may proceed to seek formal legal remedy.

12.3. Injunctive Relief

Either party may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.

13. Changes to These Terms

We may update or modify these Terms from time to time. If we make material changes, we will notify you through appropriate means. By continuing to use the Service after any revised Terms become effective, you agree to be bound by the updated Terms.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and VentureStrat regarding the Service.
• Waiver: Our failure to enforce any right or provision shall not be considered a waiver of those rights.
• Severability: If any provision is held to be invalid, the remaining provisions remain in full force.
• Assignment: You may not assign these Terms without our prior written consent.
• No Third-Party Beneficiaries: These Terms do not confer any rights on any person other than you and VentureStrat.
• Relationship of Parties: You and the Company are independent contractors.
• Notices: We may provide notices through email, via the Platform, or by other reasonable means.
